Terms of Service

These Terms of Service (the "Terms") are a binding agreement between Calibrate Group AI, LLC, a Florida limited liability company doing business as "Cover" ("Cover," "we," or "us"), and the business that registers for or uses the service (the "Customer," "you," or "your"). The service is offered through cover.restaurant and the customer dashboard.

By creating an account, starting a free trial, accepting at checkout or sign-in, or using the service, you agree to these Terms. If you do not agree, do not use the service.

You must be at least 18 years old and use Cover for business purposes. By accepting, you confirm you have authority to bind the business you represent and that the information you give us is accurate.

Cover is an AI phone host for restaurants. It answers your inbound calls with an automated voice agent, records and retains call audio, logs calls and the topics callers raise, captures catering and event leads, and (when a caller agrees on the call) sends a one-time text with a link to confirm a reservation. A web dashboard shows this activity.

The voice agent uses AI and is probabilistic. It can misunderstand callers and produce inaccurate or incomplete information. It assists your team and does not replace human judgment. You direct how your agent is configured, and you are responsible for the accuracy of the business information you provide and for obtaining any consents the law requires for call recording and for text messaging to your guests (including TCPA and carrier requirements).

Cover is sold per venue (location) per month. Standard is $499 per venue and Pro is $699 per venue; every plan includes 1,000 call minutes per venue each billing period. Minutes used beyond the included amount are billed at $0.25 per minute and do not roll over. A one-time onboarding and setup fee of $1,500 applies once per account.

You may pay monthly or annually; choosing annual gives you two months free. Fees are charged through our payment processor, and subscriptions renew automatically for successive terms until cancelled.

You can cancel at any time from the billing portal. Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees already paid are non-refundable and are not prorated, and the one-time onboarding fee is non-refundable once onboarding work has begun.

We offer a 14-day free trial, one per customer, with no card required. We do not charge you during the trial. To keep using Cover after the trial you must start a paid plan. If you do not, your access ends and we delete trial data approximately 30 days after the trial lapses.

You agree not to use Cover for anything unlawful, harassing, deceptive, or infringing, and not to contact anyone by call or text without the consent the law requires. You will keep your business information accurate. You will not resell, reverse engineer, scrape, or overload the service. We may investigate suspected violations and may suspend or terminate accounts that breach these Terms.

As between us, you own your data and your guests' data. We process guest data (such as call recordings and transcripts, caller and reservation phone numbers, lead details, and text opt-in records) on your behalf as your service provider, only to provide the service, and never to sell it or to use it for our own marketing. How we handle that data is described in our Privacy Policy, and a Data Processing Addendum is available on request at hello@cover.restaurant.

We own the Cover platform, software, and brand, and grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. All rights we do not expressly grant are reserved.

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the voice agent will be accurate, uninterrupted, or error free, and we do not guarantee any particular result, including any number of covers or leads.

To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability arising out of or relating to the service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.

These Terms apply while you use the service. Either party may choose not to renew at the end of a term. We may suspend or terminate the service for non-payment or for a breach of these Terms. After termination you may export your data for 30 days, after which we delete it, subject to any legal retention requirements. Sections that by their nature should survive (including fees owed, the disclaimers, the limitation of liability, and the section below) survive termination.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Except for claims that qualify for small-claims court, you and Cover agree to resolve any dispute by binding individual arbitration seated in Palm Beach County, Florida, and each party waives any right to participate in a class or representative action. Either party may still seek injunctive relief in court to protect its intellectual property or confidential information.

We may update these Terms from time to time. For material changes we will provide reasonable notice, and your continued use after a change takes effect means you accept the updated Terms. We will revise the date at the top of this page when we make changes.
